Terms of Service

These terms govern your organisation's subscription to PUEpredict. They are written for UK B2B procurement and sit alongside the Data Processing Addendum, which forms part of the agreement.

1. The agreement

These terms, the Data Processing Addendum, and the order form recording your subscription tier form the whole agreement between PUEpredict Limited (in formation) and the customer organisation. The individual who creates a tenancy warrants that they are authorised to bind that organisation, and becomes its first Operations Lead.

2. Subscription tiers and facility limits

  • Single Facility — £1,499 per month, one facility.
  • Multi-Facility — £2,799 per month, up to five facilities.
  • Enterprise — £4,999 per month, unlimited facilities and 12-month telemetry retention.

Prices exclude VAT. Facility limits are enforced by the platform. Moving to a lower tier requires the facility count to be within that tier's limit first.

3. Your responsibilities

  • Keep credentials confidential, use a unique password, and tell us promptly if you suspect a compromise.
  • Only invite people entitled to see the tenancy's operational data, and remove leavers.
  • Ensure you are entitled to send us the telemetry and facility data you connect, and that connecting it does not breach a third-party hosting or colocation agreement.
  • Use the platform for lawful business purposes only, and not to reverse engineer, resell, benchmark against competitors' credentials, or circumvent tenancy isolation.

4. Recommendations and compliance output

PUEpredict produces engineering recommendations and statutory report drafts. Each carries a model confidence indicator and the data sources and methodology used to produce it.

You remain responsible for verifying any change before it is made to live plant, and for the accuracy and submission of any ESOS, SECR or CCA filing. Output is decision support, not a substitute for a qualified assessor, a lead assessor sign-off, or your own engineering judgement. Where telemetry coverage is insufficient, the platform says so rather than estimating.

5. Availability and support

We target 99.5% monthly availability excluding scheduled maintenance, which is notified at least five working days in advance and normally falls outside UK business hours. Support is provided by email during UK business hours, with a four-business-hour target first response for incidents that prevent access to the platform.

6. Intellectual property

We own the platform, its models and its report templates. You own your facility data, telemetry and the reports generated for you, and you may export them at any time in PDF, DOCX or CSV. You grant us a licence to process that data to provide the service and, where you have opted in, to contribute anonymised, aggregated efficiency measures to peer benchmarking cohorts that never identify a facility or operator.

7. Confidentiality

Each party will protect the other's confidential information with at least the care it applies to its own, and will not disclose it except to personnel and sub-processors who need it and are under equivalent obligations. Facility locations, load figures and efficiency performance are treated as confidential.

8. Liability

Neither party excludes liability for death or personal injury caused by negligence, fraud, or anything else that cannot lawfully be excluded. Subject to that, neither party is liable for loss of profit, revenue, anticipated savings, or indirect or consequential loss, and each party's total liability is limited to the fees paid in the twelve months before the claim.

9. Term and termination

Subscriptions run monthly unless the order form says otherwise, and either party may terminate at the end of a billing period. We may suspend access for non-payment after notice, or immediately for a material security risk. On termination you may export your data for 30 days, after which it is deleted in line with the Privacy Policy.

10. Governing law

This agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
